Did Google Illegally Issue Shares?

“The legal wrangle, disclosed in a filing with the U.S. Securities and Exchange Commission on Wednesday, comes ahead of Google’s highly anticipated initial public offering (IPO) that could raiseas much as $3.3 billion and has been expected as early as next Wednesday.

The company said it sold 23.2 million shares to 1,105 current and former employees and consultants and granted an additional 5.6 million stock options to 301 people. The transactions took place between September 2001 and June 2004 and were not registered, as required by law, Google said. “

Judge Denies Motion To Dismiss Napster Case

In her ruling on Wednesday, U.S. District Judge Marilyn Patel, who issued an injunction against the original Napster in 2000, permitted the case to proceed through its discovery phase, saying the plaintiffs, including music publishers, songwriters and record labels, had the right to try to prove their allegations.

Justice Department Identifies Net Pirates

Synchronized searches by the FBI in 27 states and by other authorities in 10 countries beginning Wednesday resulted in the seizure of more than 200 computers, including 30 servers used as storage and distribution hubs for the material, Attorney General John Ashcroft said. One server contained over 65,000 titles.

The initiative, dubbed “Operation Fastlink,” is the largest of its kind undertaken by the Justice Department against piracy of intellectual property over the Internet. The film, music and software industries have been pushing for greater criminal prosecution while in some cases pursuing their own civil cases.

Japan Says No To Samsung’s Plasma TVs

Japanese customs authorities on Wednesday granted a request by Fujitsu Ltd to halt the import of Samsung Electronics Co’s plasma display panels (PDPs) in connection with Fujitsu’s claims that theSouth Korean firm has infringed on its patents, customs officials said.

The ban, which took effect Wednesday and is good for two years, is designed to protect Fujitsu from additional damage from the alleged patent infringements until a Japanese court rules on a patent suit that was filed by Fujitsu on April 6.

EU Microsoft Ruling Could Set Precedent

With the breakdown of settlement talks between the European Union and Microsoft Corp., the stage is set for the EU to announce next Wednesday a series of antitrust remedies and declare that the software company is an abusive monopolist, thus setting a precedent that will make it easier to prosecute other complaints, including several that are already under investigation.

The expected Wednesday announcement would close one chapter of a series of investigations that have been years in the making. However, a planned company appeal, and the other antitrust inquiries into Microsoft business practices, mean that the software giant might be dealing with antitrust issues in Europe for years to come.

FCC Releases Net Phone Guidelines

The guidelines, released Wednesday, consist mainly of a list of questions on which the FCC is seeking public comment. The FCC has already ruled that phone calls that never touch the public switched telephone network, so-called pure voice over Internet Protocol (VoIP), should not be regulated.
